1. Introduction & Acceptance of Terms

These Terms & Conditions (“Terms”) govern access to and use of the AlphaFirms platform, website, and related services operated and owned by GKN Collective.

By accessing or using AlphaFirms, you agree to be bound by these Terms. If you do not agree, you may not use the platform.

2. Definitions

• “Platform” refers to the AlphaFirms website and digital services
• “AlphaFirms” refers to the platform owned and operated by GKN Collective
• “GKN Collective” refers to the parent company and legal owner of AlphaFirms
• “User” refers to any visitor, customer, or registered business
• “Firm” refers to interior designers, brands, manufacturers, or related businesses listed on AlphaFirms
• “Services” refers to discovery, listing, and connectivity features provided by AlphaFirms

3. Platform Role & Scope

AlphaFirms, a platform operated by GKN Collective, functions solely as a discovery and connectivity platform. It does not provide interior design services, manufacture products, or execute projects.

All engagements, agreements, and transactions occur directly between customers and firms.

4. Eligibility & Account Registration

Users must:

• Be legally capable of entering contracts under Indian law
• Provide accurate and complete information

AlphaFirms reserves the right to suspend or terminate accounts that provide misleading or false information.

5. Firm Listings & Content Responsibility

Firms are solely responsible for:

• Profile information
• Project images
• Claims and representations
• AlphaFirms and GKN Collective do not independently verify every claim and shall not be liable for inaccuracies, omissions, or misleading representations made by listed firms.

6. Verification & Curation

Verification improves transparency but does not:

• Constitute certification
• Guarantee outcomes
• Replace customer due diligence

Curated and premium tiers are subject to review and may be revoked if standards are breached.

7. Subscriptions, Payments & Renewals

• Subscription fees are payable annually unless stated otherwise
• Fees are non-refundable except where required by law
• AlphaFirms may revise pricing with prior notice
• Subscription does not guarantee leads, projects, or revenue

8. Acceptable Use Policy

Users may not:

• Misrepresent credentials
• Upload false or misleading content
• Attempt to manipulate rankings or visibility
• Use the platform for unlawful purposes

Violations may result in immediate suspension or termination.

9. Intellectual Property

All platform content, branding, design, trademarks, software, and technology associated with AlphaFirms are owned by or licensed to GKN Collective.

Users retain ownership of the content they upload but grant AlphaFirms and GKN Collective a non-exclusive, royalty-free right to display, distribute, and promote such content on the platform and associated marketing channels.

10. Limitation of Liability

To the maximum extent permitted under applicable law, AlphaFirms and GKN Collective shall not be liable for:

• Project disputes
• Financial losses
• Service dissatisfaction
• Third-party conduct
• Delays, inaccuracies, or business outcomes arising from platform usage

Use of the platform is at the user’s own discretion and risk.

11. Indemnification

Users agree to indemnify and hold harmless AlphaFirms, GKN Collective, its affiliates, employees, and partners against claims arising from:

• Breach of these Terms
• Misrepresentation
• Unlawful conduct
• Violation of third-party rights

12. Suspension & Termination

AlphaFirms may suspend or terminate access:

• For policy violations
• For misuse of platform services
• To protect ecosystem integrity
• To comply with applicable laws or regulatory requirements

13. Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India.

Courts of competent jurisdiction in India shall have exclusive authority over disputes arising from the use of the platform.

14. Changes to Terms

AlphaFirms and GKN Collective reserve the right to modify or update these Terms periodically.

Continued use of the platform after such updates constitutes acceptance of the revised Terms.
